The undersigned individual or company ("Assignor") is working with DERMASCOPE Magazine, or with a company affiliated with DERMASCOPE Magazine (collectively, "Assignee"), in one or more of the following ways:

• Submitting one or more writings, slides, photographs, films, videos, ideas, drawings, inventions, designs, processes, communications, or similar items, in any such case regardless of medium, that either are Assignor's original creation or are owned by Assignor (collectively, "Assignor Materials"), for possible publication or other reasonable business use by Assignee or its designee.
• Allowing Assignee to take or produce photographs, films, videotapes or similar photographic or electronic records (collectively, "Assignee-Produced Materials") of Assignor or of Assignor's employees, procedures, equipment, facilities, tradeshow display or related materials, or similar items, for possible publication or other reasonable business use by Assignee or its designee.
• Making a presentation of any kind at a seminar, symposium or similar event sponsored or endorsed in whole or in part by Assignee.

Assignment to Assignee: Pursuant to this agreement (this "Agreement") Assignor:

• Submits to Assignee any Assignor Materials, Assignor hereby grants to Assignee or its designee the unrestricted right to use the same for publication in its magazine or for other reasonable business purposes.
• Allows Assignee to produce any Assignee-Produced Materials, Assignor hereby grants to Assignee and its designees the unrestricted right to use the same for publication in its magazine or for other reasonable business purposes.
• Makes a presentation of any kind at a seminar, symposium or similar event sponsored in whole or in part by Assignee. Assignor hereby grants to Assignee the unrestricted right to use any and all materials submitted by Assignor in connection therewith, and to produce photographs, films, videotapes or similar photographic or electronic records of Assignor participating in any such presentation, and Assignor hereby grants to Assignee the unrestricted right to use the same for publication in its magazine or for Assignee's other reasonable business purposes (which may include selling audio or video tapes thereof).

In each of the foregoing cases, Assignor hereby assigns to Assignee the non-exclusive, unrestricted, perpetual right and license to use any such materials, including without limitation pursuant to any rights of Assignor under U.S. or International copyright laws. Assignor understands that the reasonable business purposes for which Assignee may use the subject materials may include, but are by no means limited to, first time publishing rights, advertising and promotion of products and services of Assignor.

Continuing Effectiveness: This agreement shall be effective for so long as is statutorily permitted, as to all materials described herein that come into Assignee's possession prior to termination herof, whether or not such materials exist on the date hereof and whether such materials come into Assignee's possession after the date hereof by notifying Assignee thereof in writing at the time such materials come into Assignee's possession.

Warning of Assignor: Assignor warrants to Assignee that all materials subject to this Agreement (other than materials produced by Assignee) are original works of Assignor and are the sole property of Assignor, unless Assignor has notified Assignee otherwise in writing. Assignor understands that Assignee is relying on this warranty in utilizing such materials, and Assignor agrees to indemnify and hold Assignee harmless from and against any and all claims, losses, causes of action, damages and expenses (including reasonable attorney's fees) incurred by Assignee and resulting directly or indirectly from the failure of such warranty to be true.

Consideration: Assignor acknowledges that it is receiving intangible benefits in exchange for the assignments and commitments made herein, which benefits may include, but are not limited to, public relations, exposure of Assignor's products, services or techniques to potential customers, personal enjoyment, peer recognition or persuasion, and similar intangible benefits. Unless Assignee has agreed in writing to compensate Assignor in some tangible way for the assignments and commitments made herein. Assignee understands that the only consideration to Assignor for the assignments and commitments made by Assignor herein will be the aforesaid intangible benefits. Assignor nevertheless acknowledges that it has received adequate consideration for the assignments and commitments made herein and that this Agreement constitutes a legally valid and binding agreement of Assignor, enforceable in accordance with its terms.

Permission to Use Protected Mark: If any of the material subject to this Agreement contains any trademark, service mark or similar protected mark owned by Assignor, Assignor hereby grants Assignee the right to use such mark in the same manner Assignee uses the other material subject to this Agreement. If requested by Assignee in writing in a timely manner, Assignor shall include appropriate recognition of Assignee's rights in such mark.

Commitment to Assignee: Assignee agrees that it will not utilize any materials obtained by Assignee from Assignor pursuant to this Agreement in a manner that is derogatory, misleading or defamatory to or regarding Assignor or its employees, products or services; provided, however that should Assignee unintentionally violate such commitment, Assignor agrees that its sole and exclusive remedy for such violation shall be the printing of a reasonable retraction in the publication in which the violation occurred, as promptly as is reasonably possible after Assignee becomes aware of such violation.

Term; Assignment; Miscellaneous: This Agreement shall remain in full force and effect until terminated by Assignor upon 30 days prior written noticed to Assignee; provided, however, that Assignee shall retain all rights under this Agreement. Assignor may freely assign its rights hereunder, provided that no such assignment shall relieve Assignor of its obligations hereunder. Assignee shall have no obligation to return any materials subject to this agreement unless Assignee has agreed otherwise in writing. Assignee shall be entitled to edit, alter or modify any materials subject to this Agreement as it sees fit in its sole discretion.

Execution: In witness whereof, Assignor has executed this Agreement as of the date indicated below.
